1. About Locus

Locus is an AI-powered legal document intelligence platform developed and operated by Techyjaw Solutions ("we", "us", "our"). Locus allows legal practitioners to upload, analyse, query, and redraft legal documents using artificial intelligence.

Locus is designed for use by qualified legal practitioners and persons with legal training. It is not a substitute for professional legal advice, and nothing generated by the platform constitutes legal advice.

2. Eligibility

You must be at least 18 years of age to use Locus. By registering, you represent that:

• You are a qualified legal practitioner, law student, or are using Locus under the supervision of a qualified lawyer;
• All information you provide during registration is accurate and current;
• You will keep your account credentials confidential and notify us immediately of any unauthorised access.

3. Permitted Use

Locus is licensed to you for legitimate professional and educational legal use. You may use the platform to upload documents, ask questions about their content, generate redrafted versions, and organise matters into collections.

You may not:

• Upload documents that contain illegal content or that you do not have the right to process;
• Use Locus to generate documents intended to deceive, defraud, or harm any person or entity;
• Attempt to reverse-engineer, scrape, or extract the underlying AI models or training data;
• Resell or sublicense access to Locus without our written consent;
• Use automated scripts or bots to interact with the platform.

4. AI-Generated Content

Locus uses large language models to analyse documents and generate answers, summaries, and redrafts. You acknowledge and agree that:

• AI-generated content may contain errors, omissions, or inaccuracies and should always be reviewed by a qualified professional before reliance;
• Locus does not guarantee the legal accuracy, completeness, or suitability of any generated content for any specific jurisdiction or matter;
• You are solely responsible for verifying and using any output generated by the platform;
• Nothing generated by Locus constitutes legal advice or creates a lawyer-client relationship.

Where Locus generates a redrafted document, the output is a tool to assist your drafting process — not a finished legal instrument. You remain responsible for the final content of any document you deliver to a client, court, or counterparty.

5. Confidentiality & Your Documents

We understand that legal documents often contain privileged and confidential information. We are committed to handling your documents with the care they deserve:

• Your documents are stored securely and are accessible only to you and authorised Locus infrastructure;
• We do not use your document content to train AI models without your explicit consent;
• Our staff do not read or access your documents except where necessary for technical support you have requested, or as required by law;
• Documents you delete are removed from our active storage promptly.

You retain full ownership of all documents you upload to Locus. By uploading a document, you grant us a limited, non-exclusive licence to process it solely to provide the services you have requested.

6. Subscriptions & Billing

Locus is offered on a subscription basis. By subscribing to a paid plan, you agree to pay the applicable monthly fee in Nigerian Naira. Payments are processed by Paystack and are subject to Paystack's terms of service.

• Subscriptions renew automatically at the end of each billing period unless cancelled;
• You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period;
• We do not offer refunds for partial months;
• We reserve the right to change pricing with 30 days' written notice to your registered email address.

7. Intellectual Property

The Locus platform, including its name, logo, design, code, and proprietary AI workflows, is owned by Techyjaw Solutions and is protected by applicable intellectual property law. You may not copy, reproduce, or create derivative works from any part of the platform without our written permission.

You own all content you upload. You own the final versions of any redrafted documents you produce using the platform. We claim no intellectual property rights over your work.

8. Limitation of Liability

To the fullest extent permitted by Nigerian law, Locus and Techyjaw Solutions shall not be liable for any indirect, incidental, consequential, or special damages arising from your use of the platform, including but not limited to:

• Errors or inaccuracies in AI-generated content;
• Loss of data or document confidentiality resulting from factors outside our reasonable control;
• Any professional, financial, or reputational loss arising from reliance on AI output without independent verification.

Our total aggregate liability to you under these Terms shall not exceed the subscription fees paid by you in the three months preceding the claim.

9. Termination

We reserve the right to suspend or terminate your account if you breach these Terms, engage in conduct that we reasonably believe is harmful to other users or to the platform, or fail to pay applicable subscription fees.

Upon termination, your access to the platform will cease. You may request an export of your documents within 30 days of termination by contacting us at the address below.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
